Boring Box Company NFT and Website
These terms and conditions (the “Terms”) constitute a legal and binding agreement between you and BIIP LLC d/b/a Boring Box Company (“Boring Box Co.,” “we,” “us,” or “our”) regarding your use of this website (“Website”) and the services provided to you (“Services”). The Website is maintained and operated by Boring Box Co. and is offered to you, subject to these Terms and Boring Box Co.’s privacy policy (the “Privacy Policy”), each of which may be modified, updated, or otherwise amended by Boring Box Co. from time to time, in its sole discretion, without notice to you (collectively referred to as this “Agreement”).
THE SECTIONS BELOW TITLED, “BINDING ARBITRATION” AND “CLASS ACTION WAIVER” CONTAIN A BINDING ARBITRATION AGREEMENT AND A CLASS ACTION WAIVER. THEY AFFECT YOUR LEGAL RIGHTS. PLEASE READ THEM.
1. Agreement to be Bound
By accessing or using the Website and/or Services, including without limitation participating in a Boring Box Co. NFT minting event, holding a Boring Box Co. NFT, or redeeming a Boring Box Co. NFT, you expressly represent and warrant that you have read this Agreement, understand the terms contained herein, and agree to be bound by this Agreement. If you do not agree to this Agreement, you may not access or use the Website or Services.
2. Eligibility
The Website and Services are available only for persons aged 18 years or older. Boring Box Co. reserves the right, in its sole discretion, to deny you access to the Website or Services, or any portion thereof, without notice and without reason.
3. Services
Boring Box Co. owns and operates the Website and provides certain Services through it. From time to time, Boring Box Co. offers eligible participants the opportunity to participate in a minting event of non-fungible tokens (“Boring Box Co. NFTs”) representing a mystery box containing digital or physical items. These items may be claimed through tools on the Website (each event, a “Minting Event”). Boring Box Co. retains items in secured storage until a valid redemption is completed through a soulbound token claim process.
To access and use certain features of the Services, such as minting a Boring Box Co. NFT and claiming the corresponding item, you must connect a compatible Ethereum-compatible wallet supported on Ape Chain (Arbitrum Layer 2). Transactions you initiate through the Website are conducted directly with the smart contract via a third-party wallet provider. Boring Box Co. does not store or have access to your Wallet or private keys and is not capable of performing transactions or transmitting messages on your behalf.
4. Transfers
Boring Box Co. NFTs may not be sold, assigned, pledged, or transferred except in accordance with this Agreement. Where Boring Box Co. enables sales on a third-party platform (a “Designated Third-Party Platform”), NFT holders may offer their NFTs for sale. All sales on such platforms are separate transactions between buyer and seller and subject to the platform's terms.
5. Redemption Process
As a Boring Box Co. NFT holder, you may request redemption of the corresponding item via the Website. Redemption requires burning the tradable NFT in exchange for a soulbound token. Once the soulbound token is in your wallet, you may fill out the claim form, which includes shipping details and payment of applicable shipping fees. Once redeemed, the NFT cannot be used for future redemption.
6. Unclaimed Items
Boring Box Co. does not require item claims within a specific period under normal operations. However, in the event Boring Box Co. ceases operations, a notification will be posted on our Website and social media channels, giving NFT holders a 24-month period to claim their items.
If an item remains unclaimed after this 24-month period, Boring Box Co. reserves the right to retain or repurpose the item.
Participants are responsible for monitoring the status of Boring Box Co. via our official communication channels. Beyond this claim period, Boring Box Co. will not be liable for any unclaimed items.
7. Marketplace Purchases
Any Boring Box Co. NFT purchased on a secondary marketplace, such as Magic Eden or OpenSea, is subject to these Terms and Conditions. By purchasing a Boring Box Co. NFT on a secondary marketplace, the buyer acknowledges and agrees to be bound by these Terms, including, but not limited to, the policies on item redemption, unclaimed items, and any applicable fees.
Boring Box Co. does not assume responsibility for verifying the buyer's agreement with these Terms; participation in purchasing or redeeming an NFT on secondary platforms implies consent to this Agreement.
8. Permitted Use Guidelines
By accessing the Website and/or using the Services, you agree to:
Not use the Website and/or Services for any unlawful purpose.
Not access the Website or use the Services to collect market research for a competing business.
Not impersonate any person or entity.
Not decompile, reverse engineer, or disassemble any software on the Website.
Not use automated means (spiders, robots) to scrape data from the Website, except for non-commercial public archives (e.g., archive.org).
Not interfere with or attempt to interrupt the Website through viruses or similar.
We reserve the right to deny access without notice if any of these guidelines are violated.
9. Links to Other Sites
The Website may contain links to independent third-party websites, protocols, or software (“Linked Sites”) provided solely for convenience. Boring Box Co. is not responsible for Linked Sites’ content and does not endorse them. You must make independent judgments regarding your interactions with Linked Sites.
10. Assumption of Risk
You acknowledge that blockchain-based interactions involve inherent risks, including potential losses from user error, unauthorized access, server failures, and software updates on Ape Chain and Ethereum. Boring Box Co. is not responsible for losses due to technical node issues, forks, or other blockchain-related events.
11. Intellectual Property
The Website contains proprietary content owned by or licensed to Boring Box Co. Unauthorized use may violate copyright, trademark, and other laws. You agree not to copy, distribute, or otherwise use the content, unless expressly permitted by Boring Box Co. The trademarks and logos of Boring Box Co. and others are protected by law, and no license is granted to use them without written permission.
12. No Warranties; Limitation of Liability
Boring Box Co. does not guarantee uninterrupted or error-free operation of the Website and disclaims all warranties, including but not limited to warranties of merchantability and fitness for a particular purpose. We shall not be liable for incidental or consequential damages.
13. Indemnification
You agree to defend and hold Boring Box Co. and its affiliates harmless from any claims arising from your breach of this Agreement or misuse of the Website and/or Services.
14. Termination of the Agreement
Boring Box Co. may restrict, suspend, or terminate this Agreement and your access to the Website and/or Services at any time, without notice.
15. Binding Arbitration and Class Action Waiver
All disputes arising under or related to this Agreement will be resolved by binding arbitration under JAMS rules. This arbitration will be conducted individually, not as a class action.
16. Governing Law
These Terms and any disputes arising hereunder shall be governed by the laws of the State of Virginia.
